Zakelijke rekening

Verbouwing of uitbouw

In brief
To open or switch a payment account you need a bank or payment institution; we do not act as intermediaries for that and refer you on for credit, see business loan. In insurance terms one thing matters: the policyholder on the policy schedule has to be the same legal entity as the name on the account. When paying a claim the insurer pays the policyholder, and not a name that happens to look similar.
That goes wrong on a change of legal form. If you convert a sole trader business into a private limited company, there is legally a new business. The account transfers or is replaced, but policies do not carry over automatically: they stay in the name of the old policyholder. Under Article 7:928 of the Dutch Civil Code you have to report such a change, and Article 7:930 of the Dutch Civil Code gives the insurer scope to reduce the payment if that has not happened.
The second point of contact is payment fraud. A forged invoice with a changed account number, an urgent payment supposedly from the board or a hacked mailbox in which bank details are altered: those are the most common losses on a business account. They do not fall under the public and employers' liability insurance, because there is no injury and no property damage. Some variants belong with cyber insurance, others only with separate fraud or fidelity cover.
This page deals with one situation. The full overview is on SME insurance package.
What matters about the account
Four points that only come to light when a claim is paid or fraud occurs.
Transfer fraud is not a liability loss
If you are misled and transfer money to a criminal yourself, that is pure financial loss of your own business. The AVB covers injury and property damage to third parties and does not come into play here. Cyber policies often cover the recovery and the forensic costs after a break-in to your systems, but the amount transferred only where a section for fraudulent transfer is included. Ask about it expressly.
Fidelity loss caused by your own staff
Embezzlement by an employee with payment rights falls outside virtually every standard policy. Liability cover concerns damage to others; here you are the injured party yourself. Also, Article 7:952 of the Dutch Civil Code excludes loss caused deliberately, which is directly in issue with deliberate embezzlement. There is separate fidelity or fraud cover for this, with requirements on separation of duties and the four-eyes principle.
Cash stands apart from the account
Cash in hand, cheques, vouchers and card takings not yet banked are not business contents. They belong under a money insurance, with its own sum for money on the premises, money in the safe and money in transit. The section imposes requirements on the safe class and on how often takings are banked; if those are not met, the payment is limited.
The name on the policy when a claim is paid
On a large claim the payment is made to the policyholder, and where an asset is pledged sometimes to the financier. If the policy schedule shows a trading name that does not appear in the trade register, or a private account for a company, a check follows first and then a delay. With a business interruption insurance that delay feeds straight through into your liquidity.
What does your premium depend on?
- Legal form and number of entities — a holding structure calls for several policyholders
- Turnover — the basis for liability and fraud cover
- Number of staff authorised to make payments — decisive for the fidelity risk
- Separation of duties in the accounts — the four-eyes principle lowers the rate
- Amount of cash — determines the sums on the money section
- Digital security — multi-factor authentication and back-ups count towards cyber
Insurers weigh these details differently. That is why comparing pays off.
What is covered
| Situation | AVB | Cyber insurance |
|---|---|---|
| Ransomware brings your administration to a halt and an external firm restores the systems | No | Yes |
| Customer data from your accounting package is out in the open and you have to inform those affected | No | Yes |
| Your engineer damages a machine at a supplier while making a delivery | Yes | No |
| A visitor trips in your reception hall and breaks a wrist | Yes | No |
| Your webshop is down for three days after an attack and you lose turnover | No | Provided that |
| The regulator imposes a fine after the data breach | No | No |
Both policies are in the name of the same policyholder; if that name does not match the trade register, every payment starts with a check.
Frequently asked questions
The questions we are asked most often about this.
Does the premium have to come from a business account?
That is not a legal requirement. It is practical, though, because the insurer pays the policyholder when a claim arises, and with a company that is the business. If the direct debit runs through a private account while the policy is in the name of the private limited company, the company will ask for an explanation when paying and the handling is delayed.
Is a hacked mailbox with a changed account number covered?
That depends on the section. The investigation into the break-in, the restoration of systems and the duty to report personal data breaches usually fall under cyber insurance. The amount transferred on the basis of the forged invoice only falls under it where a separate section for fraudulent transfer is included. Without that section you carry the loss yourself.
What happens to my policies when I convert to a private limited company?
They do not carry over automatically. The new company is a different policyholder, so the policies have to be transferred or applied for again. If you do not do that, you are insuring an entity that no longer has any activities. So report the conversion before the deed is executed, together with any change in activities or business address.
Are fines from a bank or a regulator insured?
No. Administrative fines, penalty payments and additional tax assessments are sanctions and not compensation; they are excluded on every general insurance policy. Directors sued personally for improper management can insure the cost of defence through directors' and officers' liability insurance, but there too the fine itself stays outside the cover.
