In brief

Please note: borrowing money costs money. Finance costs interest, commission and fees. For consumer credit these are summarised in the annual percentage rate (APR). That percentage makes proposals comparable with one another; the monthly payment does not, because it falls of its own accord as soon as the term is extended.

Finass Verzekert holds an AFM licence for non-life insurance. Credit falls under a different licence category. We do not provide finance, do not advise on it and do not act as an intermediary for it. You arrange that with a bank or a specialist lender, which carries out the assessment and the advice independently.

Note that the consumer protection in the Dutch Financial Supervision Act largely does not apply to business credit: there is no compulsory APR and no compulsory credit warning. So always ask for the the total cost of credit over the whole termyourself, expressed on an annual basis. If you sign in a private capacity as well, a BKR (the Dutch credit register) registration can follow.

Where things go wrong in practice

Four points that make the difference between a workable and an expensive proposal.

Compare on an annual basis, not on the instalment

A lower instalment almost always means a longer term, and therefore more interest in total. For consumer credit the APR obliges providers to give one comparable figure; for business credit there is no such duty. So ask for the total cost of credit: the amount you have paid by the end of the term over and above what you drew, including arrangement fee, commitment fee and administration charges.

Security often reaches further than the asset

Lenders ask for right of pledge over business contents, stock and receivables, and for property a mortgage right. On top of that, managing directors and majority shareholders are often asked for a a personal guarantee . That guarantee puts your private assets on the line, even after you have sold the business, unless you are expressly released from it. Have those clauses reviewed by a lawyer before you sign.

The lender requires insurance, and checks it

Almost every finance agreement contains an obligation to keep the financed asset insured against fire and other covered perils, with the lender as interested party. If you cancel that policy or it lapses through arrears, you are in default under the credit agreement. Also report changes in use or purpose; the duty of disclosure in Article 7:928 of the Dutch Civil Code applies in full.

Assess the party, not just the offer

Besides banks there is a market of non-bank lenders. Check whether the party subscribes to a code of conduct or quality mark for small business finance and whether there is a complaints procedure. Be cautious with providers that ask for payment up front, do not want to see annual figures or claim that no assessment is needed. We do not recommend any particular party.

Frequently asked questions

The questions we are asked most often about this.

Does Finass Verzekert provide or arrange business finance?

No. We advise and act as intermediaries solely in general insurance. Finance falls under a different licence category; we do not provide credit, do not submit applications and receive no fee for it. We do arrange the insurance a lender requires from you, and where necessary we have the lender named on the policy as interested party.

Does the APR also apply to business credit?

Not as a requirement. The annual percentage rate of charge is prescribed for consumer credit to consumers; for business finance a provider is not obliged to give it. So ask for all costs over the whole term yourself and convert them to an annual basis. Without that step you are comparing apples with pears, particularly where terms differ.

Is a business loan registered with the BKR?

For a private limited company, usually not. For a sole trader or a general partnership, or where you sign or give a guarantee in a private capacity, a registration can follow. Ask the provider in writing beforehand how it handles this; a registration carries through into later applications for a mortgage or consumer credit.

Which insurance does a lender usually require?

Almost always buildings insurance for property, and insurance of the financed asset against fire, storm and burglary. Business interruption, liability and sometimes goods in transit or machinery breakdown cover are often added. The lender wants to be named on the policy as interested party; we can have that recorded for you.
